Pricing, Payments, Taxes and Supplier Settlements

Version 1.1Updated 12 min read

Effective date: From the first publication of this version on b2b.scrolling.in, subject to the notice and existing-Order protections in the Marketplace Terms.

This Policy explains how prices, payment instructions, refunds and Supplier settlements are administered on Burbn B2B. It supplements the Marketplace Terms, Buyer and Order Terms and Supplier Agreement. A regulated payment provider's obligations remain subject to its own applicable law and terms.

1. Price display and final payable amount

A listing may show a starting price or a quotation estimate. It must identify the currency, unit of sale and quantity or configuration to which that price applies. An indicative amount must be clearly distinguished from a binding total.

Before final acceptance, the Approved Order Record must show the goods price, discounts, taxes, freight, insurance, customs-related charges and optional services separately, or clearly state where a component is included. A compulsory charge cannot be disclosed for the first time after commitment.

If duty or another compulsory cost cannot be fixed, identify the responsible party, calculation basis and an approved estimate or cap, with an approval process for a material excess. Do not describe an unresolved estimate as “all inclusive” or “no extra charges.” No optional add-on is accepted solely through a pre-selected checkbox.

2. Currency and exchange-rate treatment

The Order must state the currency in which the Buyer pays and the currency in which the Supplier is entitled to receive funds. Where conversion is arranged, disclose the exchange-rate source or method, fixing time, validity period and any conversion margin or fee before payment.

An accepted fixed-currency price cannot be increased unilaterally due to an exchange-rate movement. An expressly agreed variable-rate arrangement must specify its trigger and calculation. A refund ordinarily uses the original transaction currency; a bank's subsequent conversion may produce a different local-currency amount. Unagreed exchange fees imposed by Burbn or the Supplier are not permitted.

3. Approved payment routes and recipient identity

The payment method for each purchase will be provided in its final approved quotation. Before the Buyer confirms the Order, the quotation must identify the method, authorised receiving party, currency, amount, payment due date or milestones, applicable payment charges and the instructions needed to pay. The accepted quotation is incorporated into the Approved Order Record.

Pay through the method and to the recipient recorded in that quotation and Order. If payment instructions change, the change must be recorded as an approved quotation revision or Order amendment and verified through Burbn's established support contact before payment. A message or a new account number alone does not amend the agreed payment terms.

Available methods may differ by geography, value, account eligibility and provider. The final approved quotation determines which method is available for that Order. Any provider needed to complete that payment must be identified in the quotation or the associated payment interface before the relevant payment is authorised. Descriptions of payment options on another Burbn property do not add a method to the accepted B2B quotation.

Where the quotation specifies a bank transfer, its instructions must identify the receiving legal entity or regulated provider, bank details, payment or Order reference, reconciliation process and whether the payment qualifies for Buyer Protection. A Supplier's unsolicited personal-bank or QR-code instruction outside the recorded approved quotation is not an approved route. No named gateway, wallet, escrow service or credit product is made universally available by this Policy.

4. Collection authority and handling of funds

Where the Platform facilitates collection for a Supplier, the Supplier gives only the documented authority necessary to receive and apply that Order payment through the approved arrangement. Payment to the authorised recipient discharges the Buyer's corresponding payment obligation to the extent funds are received and lawfully credited. The Buyer must not be asked to pay twice because of a settlement dispute between Burbn, the provider and the Supplier.

The payment flow, custody, settlement and refunds must comply with applicable payment-system and foreign-exchange requirements. Burbn does not claim RBI authorisation, regulated escrow status or deposit-taking authority merely by publishing this Policy. Funds must not be retained, pooled, transferred or used outside the legally supported provider arrangement.

Cross-border collections must use a legally permitted arrangement appropriate to the transaction, including authorised banking or payment-aggregator arrangements where required. If the arrangement cannot support a proposed country, currency or goods category, the transaction must not be accepted through that route.

5. Authorisations, captures and uncertain transactions

A card authorisation may reserve funds before they are captured. The interface or provider information should distinguish a reservation, successful payment, pending reconciliation, failure, reversal and refund. A screenshot alone is not conclusive proof that funds reached the correct beneficiary.

If a payment times out, check the Order and provider status before retrying. A technical timeout does not prove failure. Burbn will examine the transaction reference and provider confirmation to identify a successful payment, duplicate debit or unresolved attempt.

A debit without a successful merchant receipt may be a failed payment rather than an Order refund. The applicable provider's reversal and compensation duties, including applicable RBI requirements, govern. Burbn will provide available records and escalate through its provider relationship. If funds reached the approved recipient but no Order is accepted, they must be returned or the Buyer must expressly agree to apply them to a valid Order.

6. Deposits and staged payments

The Order must identify each deposit or milestone, the event making it due, the release condition and the treatment if the transaction stops. A deposit is not automatically non-refundable.

Custom-production deposits may fund specifically approved, non-recoverable work. A deduction on cancellation must be supported by the agreed terms and evidence of reasonable, unavoidable costs, after crediting recoverable value and amounts saved. No Supplier may keep a deposit for work it did not perform or for an Order it cannot lawfully fulfil merely by labelling it “advance.”

The Buyer must approve a material change to payment stages. Where funds are to be released before delivery, disclose that fact and the applicable protection before payment; do not imply that a deposit remains held until delivery if the provider actually releases it earlier.

7. Credit, overdue amounts and MSME rights

Deferred payment, credit limits, interest and collection charges require a separate accepted arrangement identifying the creditor and due date. Burbn does not become a lender by sending a payment reminder. A third-party lender must provide its own required disclosures and agreement.

Charges for late payment must be lawful, disclosed and reasonably calculated. A disputed amount should be identified separately from an undisputed debt. Collection communications must be accurate and must not involve harassment, threats or public disclosure of private account information.

Where the Micro, Small and Medium Enterprises Development Act, 2006 applies, its payment deadlines, statutory interest and competent Facilitation Council process prevail over inconsistent terms. A private inspection or payout label does not restart the statutory clock. Buyers and Suppliers must disclose relevant registration and transaction facts promptly; this Policy does not decide eligibility merely from a badge or declaration.

8. Supplier invoices and tax responsibilities

The Supplier issues the sales invoice or other legally appropriate document to the Buyer. It must correctly identify the Supplier, Buyer where required, goods, quantity, taxable value, applicable tax, place of supply, invoice date and required identifiers. The Platform may assist in generating documents but does not thereby become the seller.

Each party is responsible for its own registrations, returns and taxes. Burbn issues an invoice for its own taxable services where required. GST collection at source, income-tax withholding, reporting, applicable exemptions and cross-border obligations are applied according to the law in force and the actual payment flow. Rates and section references are not frozen by this Policy.

The Supplier must provide valid tax information and promptly correct errors. Burbn must itemise tax withheld or collected, remit and report as legally required and make the corresponding statement or certificate available. An adjustment must distinguish a statutory tax from a Platform Fee.

9. Input tax credit, credit notes and returns

Eligibility for input tax credit depends on applicable law and the actual transaction, documents and filings. Burbn does not promise credit merely because a GSTIN was entered. The Supplier must perform the invoicing and reporting obligations that are its responsibility.

Returns, discounts and cancellations may require a credit note, revised commercial document or adjustment. The responsible party must issue it within the lawful period and provide it to the other party. The Buyer must make any legally required credit adjustment. An accounting delay must not be used to withhold an otherwise due commercial refund indefinitely.

No party may request a false invoice, backdated document, artificial split, incorrect recipient or understated value to gain a tax or customs benefit.

10. Supplier commission and charge calculation

The Commercial Schedule must state whether commission is calculated on the pre-tax goods value, post-discount value or another clearly defined base. It must separately address freight, tax, partial refunds, Supplier-funded discounts, payment fees and campaign charges.

Only disclosed and accepted charges may be applied. A fee described as a provider cost must not conceal an undisclosed Platform margin. Optional testing, warehousing, translation, inspection, advertising or special logistics requires the relevant price and acceptance.

Rates are fixed for an accepted Order. A later rate change applies prospectively on the notice required by the Marketplace Terms. No fee rate or reserve percentage is assumed from the retail website or from an unpublished dashboard default.

11. Settlement eligibility and timing

This section governs money collected by Burbn or its approved provider for settlement to a Supplier. If the approved quotation requires an authorised payment directly to the Supplier, receipt and payment stages follow the recorded quotation terms; Burbn does not claim custody of those funds or make a duplicate settlement. Applicable Buyer Protection and support obligations remain as stated for the approved route.

For an ordinary delivery-based Order, settlement becomes eligible after payment has been reconciled, delivery is confirmed, the agreed inspection period has expired and no supported claim or lawful hold affects the payable amount. In the absence of a different accepted lawful schedule, settlement will be initiated within five Business Days after those conditions are met.

Advance, instalment and milestone Orders use their expressly agreed release conditions. Partial delivery may produce a proportionate settlement if the Order permits it. A legally required earlier settlement or payment-provider rule prevails over the contractual default.

A bank's credit time may follow initiation. Burbn will provide the transfer reference and investigate a failed or returned payout. Known bank closure, invalid beneficiary details or provider restrictions must be communicated with corrective steps.

12. Settlement statement and calculation

Each statement must be understandable and reconcilable to the underlying Orders. At a minimum it should show:

ComponentTreatment
Reconciled sale proceedsFunds actually received for the Supplier's accepted Orders.
Buyer refunds and reversalsAmounts actually due or processed, linked to the affected Order and reason.
Platform commission and optional servicesAccepted rate and calculation base, plus applicable tax.
Provider and logistics chargesDisclosed charges actually applicable to the Order.
Statutory collection or withholdingSeparately identified amount and tax category.
Reserve withheld or releasedAgreed basis, amount, originating period and scheduled release.
Other adjustmentsIndividually explained corrections or lawful recoveries.
Net payoutRemaining amount due, settlement date and payment reference.

Amounts cannot be deducted twice under different labels. Supplier-fault recovery, a chargeback and an approved refund for the same loss must be reconciled to prevent duplicate collection.

13. Reserves and protective holds

A rolling reserve requires an accepted schedule specifying its purpose, percentage or fixed amount, calculation basis, period, maximum exposure and release process. The default is no contractual rolling reserve if no reserve was agreed. A reserve is not automatically an interest-bearing deposit and must remain within the lawful funds arrangement.

A protective hold may be applied to the extent reasonably necessary for a supported claim, chargeback, identity inconsistency, fraud exposure or legal requirement. Identify the affected amount and reason where permitted. Release unaffected funds unless a broader restriction has a documented basis.

Discretionary holds must be reviewed at least every 15 calendar days. Tell the Supplier what evidence or event is needed for release. A court or regulator may require a different period or restrict disclosure; such a hold must remain tied to that legal requirement.

14. Deduction challenges and correction

A Supplier should raise a statement discrepancy promptly, preferably within 30 calendar days of receiving the statement, with the Order reference and disputed calculation. That administrative request period does not extinguish legal claims or excuse a discovered accounting error.

Provide supporting calculations, consider the response and issue a reasoned outcome. Ordinary disputed commercial deductions should allow at least five Business Days for response before finalisation. Urgent protective holds are reviewable afterwards where legally permitted.

Confirmed overcharges must be credited in the next practicable settlement or paid separately if no settlement is due. Confirmed underpayments or duplicate payments may be corrected with notice and a traceable record, subject to law. No correction authorises access to a person's bank account without a lawful mandate.

15. Refund routing and processing

Approved refunds will be initiated within two Business Days after approval and satisfaction of any valid return condition. A qualifying Buyer Protection refund is not delayed pending recovery from the Supplier. The Returns Policy determines the refundable components.

Refund to the original instrument where possible. If that route cannot accept the credit, verify a lawful alternative associated with the payer or purchasing business. An employee who placed a company Order cannot divert the company's refund to an unrelated personal account without valid authority and appropriate verification.

After initiation, credit commonly takes an estimated five to ten Business Days, depending on the actual bank or provider; any shorter applicable mandatory period prevails. Give the Buyer a reference and assistance tracing a delayed credit. Do not force a cash-paid amount into store credit. Non-cash promotional credit is reinstated in its original form according to the terms accepted when issued.

16. Chargebacks and parallel claims

A Buyer may use bank, payment-provider and statutory remedies. Tell Burbn about a parallel recovery request so amounts can be reconciled. The same loss cannot be recovered twice.

Burbn will coordinate an overlapping provider process to avoid duplicate recovery, but must not treat exercise of a legitimate provider remedy as misconduct. A completed provider recovery reduces the same outstanding loss. Merely opening a chargeback does not cancel an approved protected refund or automatically postpone its initiation deadline. Preserve evidence and suspend the administrative filing clock for time reasonably spent in the parallel process. If recovery is declined or incomplete, review any remaining eligible claim.

A chargeback fee may be passed to a Supplier only if lawfully agreed and attributable to it. A provider's operational decision does not automatically establish that either sale party committed fraud.

17. Closure, final settlement and contact

Account closure does not permit automatic forfeiture. Settle undisputed amounts normally, maintain only justified reserves or holds, and provide a final reconciliation. Legal retention of a transaction record does not itself authorise continued retention of the money.

Report payment problems through https://b2b.scrolling.in/support or support@scrolling.in, with the Order ID and transaction reference. Do not send passwords, card security codes or banking OTPs. Formal complaints follow the Grievance Policy. Common rules on changes, liability, mandatory rights and disputes are in the Marketplace Terms.
