Shipping, Delivery and International Trade Policy
Effective date: From the first publication of this version on b2b.scrolling.in, subject to the notice and existing-Order protections in the Marketplace Terms.
This Policy governs domestic and international shipment arrangements for Burbn B2B Orders. Read it with the Buyer and Order Terms, the Approved Order Record and the Returns Policy. The Supplier sells the goods; Burbn is responsible for the coordination or other service it expressly agrees to provide.
1. Serviceability and delivery arrangements
Delivery availability depends on the destination, product, dimensions, weight, transport restrictions, Supplier capability and carrier serviceability. An international catalogue listing does not mean that the product can lawfully be imported into every destination.
Confirm serviceability and the delivery arrangement before Order acceptance. Identify whether the consignment is a parcel, pallet, less-than-container load, full container, consolidated shipment, specialised freight or Buyer collection. Agree unloading, appointment, access, storage and installation requirements where relevant.
A subsequent genuine service disruption must be communicated promptly with available alternatives. A Buyer need not accept a materially different destination, freight method or cost without agreement.
2. Dispatch, transit and delivery commitments
An Order must distinguish stock preparation or production time, dispatch date, transport time, customs processing assumptions and the latest delivery date. Indicative catalogue estimates are not substitutes for an agreed delivery commitment.
The retail website's standard domestic parcel timeline does not automatically apply to wholesale production or international freight. A custom-production lead time starts from the specified milestone, such as cleared deposit and artwork approval, only if that starting event was agreed in advance.
Suppliers must promptly notify a likely missed commitment, explain the cause and propose a revised date. A revised date does not become binding through silence or automatically restart the Buyer's claim clock. Confirmed loss, refusal to supply or impossibility may justify a refund without waiting for a further delivery estimate.
3. Shipping prices and free-shipping claims
State shipping charges and their calculation basis before the Buyer commits. Disclose volumetric or actual weight, standard packaging, fuel or remote-area surcharges, handling and any separately chargeable special service where applicable.
Where the accepted Order promises free shipping, the Buyer will not later be charged ordinary agreed forward freight for that delivery. Exceptions must have been clearly disclosed before acceptance. Additional freight caused by a Buyer-requested change may be charged only after the change and amount are accepted.
Free shipping does not, by itself, mean import duty, import GST, insurance, customs brokerage, unloading, installation or storage is included. The quotation must expressly show which of these applies, who pays it and whether it is included in the total. “Free doorstep shipping” must not conceal a mandatory freight or delivery charge payable on arrival.
4. International responsibility must be recorded
Before accepting an international Order, record the seller, exporter of record, importer of record, consignee, customs broker if appointed and any party arranging transport or insurance. Record the destination, port or place of handover and the documents each party will provide.
The importer of record is the person legally responsible for the import declarations and associated obligations, not necessarily the person who booked shipping or paid the freight. Burbn is not the importer or exporter merely because it coordinates an inquiry or payment. If a separate Burbn service would make it responsible for a regulated activity, that service requires a lawful, express agreement.
An Indian importer must hold an Importer Exporter Code and other required permissions unless a lawful exemption applies. A buyer who is not the importer must still receive the documents lawfully needed for its domestic purchase and input-credit or resale obligations.
5. Incoterms and the contract of sale
Where Incoterms are used, state the selected Incoterms® 2020 rule and the exact named place or port. A bare abbreviation without a place is insufficient for allocating freight and risk reliably.
| Common arrangement | Point requiring express agreement |
|---|---|
| EXW or FCA | Collection location, loading responsibility, export formalities and the handover point. EXW can create practical export difficulties for an overseas Buyer. |
| FOB, CFR or CIF | Named port and suitability for the actual sea or inland-waterway shipment. These rules are not generic terms for air or courier delivery. |
| CPT or CIP | The named destination for carriage and the different, often earlier point where risk passes. Insurance requirements must match the chosen rule. |
| DAP or DPU | Named destination, unloading allocation and the Buyer's import-clearance obligations under the selected rule. |
| DDP | The Supplier's ability lawfully to perform and pay for the agreed import-clearance and duty obligations; do not promise DDP without that capability. |
The selected rule governs the matters it actually covers. Incoterms do not by themselves determine ownership, payment dates, intellectual property, product quality, dispute jurisdiction or the effect of a breach. Those matters require the Order and applicable policies.
If an international Order lacks clear trade terms, seek clarification before acceptance. Burbn must not later assign EXW, DAP or DDP by default to resolve an undisclosed allocation.
6. Customs, duties and compliance documents
The responsible parties must provide genuine, accurate documents such as the commercial invoice, packing list, transport document, country-of-origin evidence, licences, test reports, insurance certificate and safety data where required. The particular documents depend on the goods and route.
Classification, assessable value, tariff treatment, import GST, exemptions and inspection requirements are determined under applicable law and the responsible authority's assessment. The party making a declaration remains responsible for its accuracy. A Supplier must not understate value, misdescribe commercial goods as gifts, conceal a battery or provide a false origin certificate.
If a customs assessment differs from the estimate, provide the assessment and allocation agreed in the Order. Obtain the Buyer's approval where the Order requires approval of an excess. A Supplier that promised an inclusive fixed price bears the costs assigned to it under that promise, subject to any valid change-in-law clause.
If goods cannot be imported because the Supplier misdescribed them or lacked an agreed certificate, that is assessed as Supplier non-performance. If the Buyer expressly undertook import permissions and failed to obtain them despite accurate information, documented resulting costs may be allocated to the Buyer. A dispute requires evidence, not an automatic assumption against the consignee.
7. Packaging, labelling and dangerous goods
The Supplier must use transport-appropriate packaging and accurate product, carton and consignment identification. Fragile goods, moisture-sensitive items, liquids, batteries, chemicals and temperature-controlled products require appropriate protection and lawful handling.
Where required, provide safety data, battery test summaries, dangerous-goods declarations, fumigation or wood-packaging compliance and other carriage documents. Carrier acceptance does not prove the goods comply with every product regulation.
Do not conceal dangerous goods in an ordinary consignment. Burbn may refuse or suspend a shipment that cannot be carried lawfully or safely. Responsibility for reasonable costs depends on who caused the non-compliance and the applicable contract.
8. Tracking, consolidation and partial shipments
After carrier handover, provide available tracking or freight references and the actual quantity dispatched. Creating a shipping label is not dispatch; marking an Order “shipped” without physical handover is prohibited.
Tracking may update intermittently, particularly during consolidated or sea freight. Explain material status changes, customs holds and the local-delivery reference when known. A manual statement by a Supplier is evidence to be assessed, not conclusive proof of delivery.
Partial shipments require disclosure and must not increase the Buyer's agreed total without acceptance. Each consignment has its own actual receipt date and inspection period. Acceptance of an early consignment does not settle the undelivered balance.
9. Title and transit risk
Unless a valid Order expressly provides otherwise, title to identified goods passes from the Supplier to the Buyer when the goods have been delivered and the agreed goods price has been paid. Title never passes through Burbn merely because it facilitates the transaction.
For Supplier-arranged domestic delivery without another express term, transit risk remains with the Supplier until physical delivery to the agreed recipient at the agreed address. Issuing an invoice, collecting advance payment or creating a dispatch scan does not by itself transfer that risk.
For an expressly agreed Incoterm or Buyer-appointed carrier, risk passes at the agreed point, supported by evidence of proper handover. Early transfer of transit risk does not excuse a pre-existing defect, wrong goods, inadequate packaging, false documents or another Supplier breach. Ownership of Buyer tooling and intellectual property follows its separate agreement.
10. Insurance
Insurance applies only if arranged. Identify the insurer, insured party, insured value, route, covered risks, deductible, significant exclusions and claim contact. Where an Incoterm requires insurance, the responsible party must meet that requirement and any additional cover agreed.
Burbn does not insure a consignment merely by displaying “Buyer Protection.” That protection is a separate contractual remedy. A carrier's limited liability or an insurer's refusal does not reduce an express refund obligation of Burbn or the Supplier.
Provide reasonable assistance and documents for a carrier or insurance claim. Recoveries must be reconciled so the same loss is not paid or recovered twice. A Buyer entitled to a refund need not wait indefinitely for a Supplier's insurance recovery.
11. Receipt and proof of delivery
Delivery means actual tender to the agreed recipient or an authorised receiving agent at the agreed location, not merely a scan in the same city or PIN code. Evidence may include the consignee's signature, authenticated delivery confirmation, GPS or transport data, carton count and warehouse receipt.
A carrier's “attempted delivery” status is not proof that the goods were received. It may be relevant to an agreed storage or redelivery charge if a genuine compliant attempt was prevented by the Buyer's conduct. The parties may contest a disputed delivery scan or signature.
Record visible shortage, damage, broken seals or tampering on the receiving document where possible. Take photographs of the package, labels and affected goods. A clean external receipt does not conclusively waive a hidden defect or a shortage that could not reasonably be seen.
12. Loss, damage and delay
Notify visible transport problems promptly, preferably within 48 hours, to preserve evidence and carrier claims. The formal commercial claim windows are in the Returns Policy. Missing the preferred 48-hour reporting period does not automatically extinguish a supported claim or legal right.
Keep relevant packaging and affected goods reasonably available for inspection. Do not return unsafe or regulated goods by an ordinary courier without appropriate instructions. For a lost shipment, obtain tracing evidence and contact the Supplier and Burbn through the Order record.
If delivery is not completed by the latest agreed date, the Buyer may open a claim. Unless a different reasonable long-stop date was expressly agreed, the Buyer may cancel the unfulfilled portion if it remains undelivered 14 calendar days after that latest date. Confirmed loss or impossibility may permit earlier cancellation. A Supplier cannot extend the date repeatedly without consent to avoid a remedy.
13. Failed delivery, RTO, storage and demurrage
Where delivery fails, identify the actual reason and communicate the next available step. Allocate redelivery, return-to-origin, storage, detention or demurrage costs by the accepted terms and responsibility for the event.
Buyer-caused costs may be recoverable where accurate advance instructions were given, a compliant delivery was tendered and the cost is reasonable and documented. Supplier-caused costs, including wrong labelling, missing agreed documents or non-conforming goods, must not be shifted to the Buyer merely because it is named as consignee.
Notify accruing storage costs promptly and allow a reasonable opportunity to mitigate. No party may abandon, sell or destroy another's goods without the contractual and legal authority required. A statutory lien or customs direction may require separate treatment and notice.
14. Changes, returns and disruptions
A Buyer-requested address or mode change is subject to feasibility, legal restrictions and accepted incremental cost. A material rerouting by the Supplier requires notice and, where it changes the bargain, agreement. The original obligation is not waived simply because an alternative was discussed.
Authorised returns require their own transport, customs, insurance and cost instructions. For Supplier-fault imported goods, the resolution must identify a lawful local return, re-export or non-return remedy rather than leaving the Buyer to fund an impractical international return without agreement.
The Marketplace Terms' force-majeure rules apply. A disruption may excuse an unavoidable delay, but does not entitle a party to retain payment for a terminated, unfulfilled supply. Support is available at support@scrolling.in; disputes follow the Buyer Protection and Grievance policies.
